Independent Contractor Agreement
This Independent Contractor Agreement is entered into as of [agreement date] by and between [Client] (the “Client”) and [Contractor] (the “Contractor”).

2. Payment

3. Term

4. Independent Contractor Status
Contractor is an independent contractor and not an employee, partner, agent, or joint venturer of Client. Contractor controls the manner and means of performing the services, subject to the agreed results and deadlines.
Contractor is responsible for all federal, state, and local taxes arising from payments under this Agreement, including self-employment tax. Client will not withhold payroll taxes or provide employee benefits.
5. Confidentiality
No additional confidentiality clause is included in this template.
6. Intellectual Property
To the extent permitted by law, deliverables created specifically under this Agreement are work made for hire for Client. To the extent any deliverable is not work made for hire, Contractor assigns to Client all right, title, and interest in that deliverable upon full payment.
7. Termination
Either party may terminate this Agreement for convenience by giving 14 days’ written notice. Client will pay Contractor for services properly completed through the termination date.
